By accessing or using the iLive platform, website, API, and any associated services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the Service.
2. Description of Service
iLive provides a liveness detection and identity verification platform designed for regulated industries. The Service enables businesses to verify that a real, live person is present during an identity check, helping prevent fraud through spoofing, deepfakes, and synthetic identities.
3. Eligibility
The Service is intended for use by businesses and individuals who are at least 18 years of age. By using the Service, you confirm that you meet this requirement and that the information you provide is accurate and complete.
4. Account Registration
To access certain features, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials, and you agree to notify us immediately of any unauthorized use. You are responsible for all activity under your account.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
- Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
- Interfere with or disrupt the integrity or performance of the Service.
- Attempt to gain unauthorized access to the Service or its related systems.
- Use the Service to collect data for purposes not authorized under your agreement with us.
- Sublicense, resell, or redistribute the Service without our prior written consent.
- Use the Service in a manner that infringes the rights of any third party.
6. API Usage and Integration
If you access the Service through our API, you agree to comply with our API documentation, rate limits, and usage policies. We reserve the right to throttle, suspend, or revoke API access if usage exceeds agreed-upon limits or violates these Terms.
7. Data Processing and Privacy
Our collection and use of personal data is governed by our Privacy Policy. By using the Service, you acknowledge and agree to our data practices as described therein.
If you are a business customer integrating iLive into your workflow, you are responsible for obtaining appropriate consent from your end-users before initiating a verification session and for ensuring your use of the Service complies with applicable data protection laws.
8. Intellectual Property
The Service, including its software, algorithms, design, documentation, and branding, is owned by iLive and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.
9. Service Availability and Modifications
We strive to maintain high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We are not liable for any downtime, modification, or discontinuation of the Service.
10. Fees and Payment
Certain features of the Service may require payment. Pricing, billing terms, and payment conditions are set forth in your service agreement or order form. All fees are non-refundable unless otherwise specified.
11. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, secure, or uninterrupted.
12. Limitation of Liability
To the maximum extent permitted by law, iLive shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service. Our total liability for any claim arising from these Terms or the Service shall not exceed the fees paid by you in the twelve (12) months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless iLive, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
14. Termination
Either party may terminate these Terms at any time by providing written notice. We may immediately suspend or terminate your access to the Service if you breach these Terms. Upon termination, your right to use the Service ceases, and any data associated with your account may be deleted in accordance with our data retention policies.
15. Governing Law
These Terms are governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction.
16. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and, where appropriate, provide notice. Continued use of the Service after changes constitutes acceptance of the revised Terms.
